class=\"ng-star-inserted\">\u00a0A minor cannot be a partner but can be admitted to the benefits of partnership with the consent of all partners.<\/span><\/p>\n<\/li>\n<li class=\"ng-star-inserted\">Incoming and Outgoing Partners:<\/span><\/strong><\/p>\n<ul class=\"ng-star-inserted\" style=\"text-align: justify;\">\n<li class=\"ng-star-inserted\">\n<p class=\"ng-star-inserted\"><strong class=\"ng-star-inserted\"><span class=\"ng-star-inserted\">Introduction of a Partner:<\/span><\/strong><span class=\"ng-star-inserted\">\u00a0No person can be introduced as a partner without the consent of all existing partners.<\/span><\/p>\n<\/li>\n<li class=\"ng-star-inserted\">\n<p class=\"ng-star-inserted\"><strong class=\"ng-star-inserted\"><span class=\"ng-star-inserted\">Retirement of a Partner:<\/span><\/strong><span class=\"ng-star-inserted\">\u00a0A partner may retire with the consent of all partners, as per an agreement, or by giving notice if the partnership is at will.<\/span><\/p>\n<\/li>\n<li class=\"ng-star-inserted\">\n<p class=\"ng-star-inserted\"><strong class=\"ng-star-inserted\"><span class=\"ng-star-inserted\">Expulsion of a Partner:<\/span><\/strong><span class=\"ng-star-inserted\">\u00a0A partner can only be expelled in good faith and according to a contract between partners.<\/span><\/p>\n<\/li>\n<li class=\"ng-star-inserted\">\n<p class=\"ng-star-inserted\"><strong class=\"ng-star-inserted\"><span class=\"ng-star-inserted\">Insolvency of a Partner:<\/span><\/strong><span class=\"ng-star-inserted\">\u00a0An insolvent partner ceases to be a partner, and their estate is not liable for acts after the order of adjudication.<\/span><\/p>\n<\/li>\n<li class=\"ng-star-inserted\">\n<p class=\"ng-star-inserted\"><strong class=\"ng-star-inserted\"><span class=\"ng-star-inserted\">Liability of Estate of Deceased Partner:<\/span><\/strong><span class=\"ng-star-inserted\">\u00a0The estate of a deceased partner is not liable for acts of the firm after their death.<\/span><\/p>\n<\/li>\n<li class=\"ng-star-inserted\">\n<p class=\"ng-star-inserted\"><strong class=\"ng-star-inserted\"><span class=\"ng-star-inserted\">Rights of Outgoing Partner:<\/span><\/strong><span class=\"ng-star-inserted\">\u00a0An outgoing partner can carry on a competing business but cannot use the firm-name, represent themselves as carrying on the firm&#8217;s business, or solicit former customers.<\/span><\/p>\n<\/li>\n<\/ul>\n<p class=\"ng-star-inserted\" style=\"text-align: justify;\"><strong class=\"ng-star-inserted\"><span class=\"ng-star-inserted\">Dissolution of a Firm:<\/span><\/strong><\/p>\n<ul class=\"ng-star-inserted\" style=\"text-align: justify;\">\n<li class=\"ng-star-inserted\">\n<p class=\"ng-star-inserted\"><strong class=\"ng-star-inserted\"><span class=\"ng-star-inserted\">Dissolution by Agreement:<\/span><\/strong><span class=\"ng-star-inserted\">\u00a0A firm can be dissolved with the consent of all partners or as per their contract.<\/span><\/p>\n<\/li>\n<li class=\"ng-star-inserted\">\n<p class=\"ng-star-inserted\"><strong class=\"ng-star-inserted\"><span class=\"ng-star-inserted\">Compulsory Dissolution:<\/span><\/strong><span class=\"ng-star-inserted\">\u00a0A firm is dissolved by the adjudication of all or all but one partner as insolvent, or by an event that makes the business unlawful.<\/span><\/p>\n<\/li>\n<li class=\"ng-star-inserted\">\n<p class=\"ng-star-inserted\"><strong class=\"ng-star-inserted\"><span class=\"ng-star-inserted\">Dissolution on the Happening of Certain Contingencies:<\/span><\/strong><span class=\"ng-star-inserted\">\u00a0A firm is dissolved upon the expiry of a fixed term, completion of an adventure, death of a partner, or adjudication of a partner as insolvent.<\/span><\/p>\n<\/li>\n<li class=\"ng-star-inserted\">\n<p class=\"ng-star-inserted\"><strong class=\"ng-star-inserted\"><span class=\"ng-star-inserted\">Dissolution by Notice:<\/span><\/strong><span class=\"ng-star-inserted\">\u00a0A partnership at will can be dissolved by any partner giving notice.<\/span><\/p>\n<\/li>\n<li class=\"ng-star-inserted\">\n<p class=\"ng-star-inserted\"><strong class=\"ng-star-inserted\"><span class=\"ng-star-inserted\">Dissolution by the Court:<\/span><\/strong><span class=\"ng-star-inserted\">\u00a0A court may dissolve a firm on grounds such as a partner\u2019s unsound mind, permanent incapacity, misconduct, breach of agreement, or when the business cannot be carried on except at a loss.<\/span><\/p>\n<\/li>\n<\/ul>\n<p class=\"ng-star-inserted\" style=\"text-align: justify;\"><strong class=\"ng-star-inserted\"><span class=\"ng-star-inserted\">Liability for Acts After Dissolution:<\/span><\/strong><\/p>\n<ul class=\"ng-star-inserted\" style=\"text-align: justify;\">\n<li class=\"ng-star-inserted\">\n<p class=\"ng-star-inserted\"><span class=\"ng-star-inserted\">Partners remain liable to third parties for acts done before dissolution until public notice is given.<\/span><\/p>\n<\/li>\n<\/ul>\n<p class=\"ng-star-inserted\" style=\"text-align: justify;\"><strong class=\"ng-star-inserted\"><span class=\"ng-star-inserted\">Right to Have Business Wound Up:<\/span><\/strong><\/p>\n<ul class=\"ng-star-inserted\" style=\"text-align: justify;\">\n<li class=\"ng-star-inserted\">\n<p class=\"ng-star-inserted\"><span class=\"ng-star-inserted\">Partners or their representatives are entitled to have the firm&#8217;s property applied to pay debts and distribute the surplus.<\/span><\/p>\n<\/li>\n<\/ul>\n<p class=\"ng-star-inserted\" style=\"text-align: justify;\"><strong class=\"ng-star-inserted\"><span class=\"ng-star-inserted\">Continuing Authority for Winding Up:<\/span><\/strong><\/p>\n<ul class=\"ng-star-inserted\" style=\"text-align: justify;\">\n<li class=\"ng-star-inserted\">\n<p class=\"ng-star-inserted\"><span class=\"ng-star-inserted\">Partners retain authority to bind the firm and their mutual rights and obligations continue as necessary to wind up the affairs.<\/span><\/p>\n<\/li>\n<\/ul>\n<p class=\"ng-star-inserted\" style=\"text-align: justify;\"><strong class=\"ng-star-inserted\"><span class=\"ng-star-inserted\">Settlement of Accounts:<\/span><\/strong><\/p>\n<ul class=\"ng-star-inserted\" style=\"text-align: justify;\">\n<li class=\"ng-star-inserted\">\n<p class=\"ng-star-inserted\"><span class=\"ng-star-inserted\">Losses are paid first out of profits, then capital, and finally by partners individually.<\/span><\/p>\n<\/li>\n<li class=\"ng-star-inserted\">\n<p class=\"ng-star-inserted\"><span class=\"ng-star-inserted\">Assets are applied to pay debts to third parties, then advances, then capital, and the residue is divided among partners.<\/span><\/p>\n<\/li>\n<\/ul>\n<p class=\"ng-star-inserted\" style=\"text-align: justify;\"><strong class=\"ng-star-inserted\"><span class=\"ng-star-inserted\">Registration of Firms (Sections 58-69):<\/span><\/strong><\/p>\n<ul class=\"ng-star-inserted\" style=\"text-align: justify;\">\n<li class=\"ng-star-inserted\">\n<p class=\"ng-star-inserted\"><span class=\"ng-star-inserted\">The Act provides for the registration of class=\"ng-star-inserted\"><span class=\"ng-star-inserted\">Non-registered firms face limitations in enforcing their rights through legal action.<\/span><\/p>\n<\/li>\n<\/ul>\n<p class=\"ng-star-inserted\" style=\"text-align: justify;\"><strong class=\"ng-star-inserted\"><span class=\"ng-star-inserted\">Key Aspects of Registration:<\/span><\/strong><\/p>\n<ul
